1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Uptides ("we," "us," "our," or "Company") governing your access to and use of the Uptides platform, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Uptides provides a video optimization platform that uses reinforcement learning technology to help content creators and businesses improve their YouTube video performance. Our Service includes:

  • Automated A/B testing of video titles and thumbnails
  • Performance analytics and insights derived from YouTube API data
  • Channel-specific audience pattern analysis
  • Optimization recommendations and reporting tools
  • Sponsor proof reports and exportable documentation (for applicable plans)

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account and connect at least one YouTube channel. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account.

3.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity.

4. YouTube API Services and Authorization

The Service requires access to your YouTube channel(s) through the YouTube API Services. By connecting your channel(s), you:

  • Authorize us to access, retrieve, and analyze your YouTube channel data as described in our Privacy Policy
  • Acknowledge that your use of the Service is also subject to Google's Terms of Service and Privacy Policy
  • Represent that you own or have proper authorization to manage the YouTube channel(s) you connect
  • Agree not to connect channels you do not have authority to manage

You may revoke our access to your YouTube data at any time through Google's security settings or your Uptides account settings.

5. Pricing and Payment

5.1 Pricing Models

Uptides offers multiple pricing models, including:

  • Revenue Share: A percentage of incremental ad revenue generated through our optimization, calculated based on performance above an established baseline.
  • Subscription (SaaS): Fixed monthly or annual fees based on your selected plan tier.
  • Enterprise: Custom pricing arrangements as specified in your enterprise agreement.

Current pricing details are available on our website and may be updated from time to time.

5.2 Payment Terms

For subscription plans, payment is due in advance on a monthly or annual basis, as selected. For revenue share arrangements, payment is calculated and billed monthly in arrears. All fees are non-refundable unless otherwise specified or required by law.

5.3 Late Payment

If payment is not received when due, we may suspend or terminate your access to the Service. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5.4 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including sales, use, VAT, and similar taxes, excluding taxes based on our income.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, algorithms, machine learning models, user interfaces, designs, trademarks, and content, is owned by Uptides and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

6.2 Your Content

You retain ownership of your YouTube content, brand assets, and any materials you provide to us. By using the Service, you grant us a limited license to access, use, and display your content solely to provide and improve the Service. This license terminates when you stop using the Service, except for anonymized, aggregated data used to improve our algorithms.

6.3 Your Channel Intelligence

The audience patterns, optimization insights, and channel-specific data we generate for you (your "Channel Intelligence") remain private to your account. We will not share your Channel Intelligence with other customers or competitors. However, we may use anonymized and aggregated data from all customers to improve our general algorithms and service.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to you.

7. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Connect YouTube channels you do not own or have authorization to manage
  • Attempt to reverse engineer, decompile, or derive source code from the Service
  • Circumvent, disable, or interfere with security features of the Service
  • Share your account credentials or allow unauthorized access to your account
  • Use the Service to transmit malware, viruses, or other harmful code
  • Scrape, copy, or extract data from the Service except as permitted
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Use the Service to violate YouTube's Terms of Service or Community Guidelines
  • Interfere with or disrupt the Service or servers connected to the Service

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Results obtained from the Service will be accurate or reliable
  • Any specific level of performance improvement or revenue increase will be achieved
  • The Service will meet your specific requirements or expectations

YouTube's platform, algorithm, and policies may change at any time, which may affect the Service's functionality and results. We are not responsible for changes made by YouTube or any third-party platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPTIDES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to use the Service
  • Any conduct or content of any third party on or related to the Service
  • Unauthorized access, use, or alteration of your content or data
  • Changes to YouTube's platform, algorithm, or policies

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO UPTIDES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Uptides and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your YouTube content or any materials you provide to us

11. Term and Termination

11.1 Term

These Terms commence when you create an account and continue until terminated by either party.

11.2 Termination by You

You may terminate your account at any time through your account settings or by contacting us. For subscription plans, termination will be effective at the end of your current billing period.

11.3 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, fail to pay amounts due, or if we are required to do so by law. We may also terminate the Service or your account with 30 days' notice for any reason.

11.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data after a reasonable retention period, except as required by law. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at [email protected] and attempt to resolve any dispute informally for at least 30 days.

12.2 Arbitration Agreement

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Las Vegas, Nevada, or at another mutually agreed location.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction for infringement or misappropriation of intellectual property rights.

13. General Provisions

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

13.2 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance. If you do not agree to modified Terms, you must stop using the Service.

13.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.5 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.6 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Uptides regarding the Service and supersede all prior agreements and understandings.

13.7 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemic, or third-party service outages.
